Welcome to Camellia Clothing! The terms "we", "us" and "our" refer to Camellia Clothing. Camellia Clothing operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Camellia Clothing is powered by Shopify, which enables us to provide the Services to you. 
The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services. 

SECTION 1 ACCESS, BUSINESS ACCOUNTS & AUTHORITY

By using this website or placing an order with Camellia Clothing, you represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement.

If you are purchasing on behalf of a business, boutique, retailer, organization, or other entity, you represent that you are authorized to act on behalf of that entity and to bind it to these Terms.

You are responsible for providing accurate and current account, billing, shipping, business, and contact information. You are also responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

SECTION 2 WHOLESALE PRODUCTS

Camellia Clothing primarily offers women's apparel for wholesale purchase by boutiques, retailers, and other approved business customers.

Products may be sold in predetermined packs, size runs, color assortments, or other wholesale configurations as stated on the applicable product page. For example, a pack described as S-M-L (2-2-2) contains two units of each listed size for a total of six units.

Unless expressly stated otherwise, the price displayed for a pack represents the wholesale price for the complete pack. Any per-item price shown is provided for reference.

Product colors, measurements, fabric appearance, and other visual details may vary slightly due to manufacturing tolerances, photography, lighting, and display settings.

We may modify, discontinue, restock, or limit quantities of products at any time.

SECTION 3 ORDERS & RESALE

When you submit an order, you are making an offer to purchase the products in your order. Camellia Clothing reserves the right to accept, reject, limit, or cancel an order, including in cases of inventory discrepancies, pricing errors, payment issues, suspected fraud, or other operational reasons.

Camellia Clothing products purchased through our wholesale store may be resold by the purchasing retailer in the ordinary course of its retail business, subject to applicable law and any separate written restrictions communicated by Camellia Clothing.

Wholesale purchases are intended for legitimate retailers and businesses purchasing merchandise for resale or other authorized commercial purposes.

Please review your order carefully before submitting it. Cancellation requests should be submitted as soon as possible. Once an order has entered processing, fulfillment, or shipment, cancellation may no longer be possible.

Returns and exchanges are governed by our Returns & Exchanges Policy.

SECTION 4 PRICING, PACKS, TAXES & PAYMENT

All prices are listed in the currency displayed on the website.

Wholesale merchandise may be priced by pack and may also display an estimated or calculated per-unit price. The pack price shown at checkout is the amount charged for the applicable merchandise unless otherwise stated.

Prices, availability, promotions, pack configurations, and discounts may change without notice.

Unless otherwise stated, product prices do not include shipping charges, applicable sales or use taxes, customs duties, brokerage charges, import taxes, or other governmental fees.

Wholesale customers are responsible for providing valid resale certificates, seller's permits, tax-exemption documentation, or other information when required. Acceptance of any exemption documentation is subject to applicable law.

You agree to provide current, complete, and accurate billing and payment information and represent that you are authorized to use the payment method supplied.

SECTION 5 READY-TO-SHIP & PREORDER MERCHANDISE

Products identified as Ready to Ship are expected to enter fulfillment within our normal processing period, subject to inventory verification.

Products identified as Preorder, Coming Soon, Future Ship, or with an estimated ship date are not immediately available for shipment.

Any future availability or ship date is an estimate and may change because of production, freight, customs, carrier, or other circumstances outside Camellia Clothing's reasonable control.

If an expected ship date changes materially, we may communicate updated information using the contact information associated with the order.

Orders containing both Ready-to-Ship and future merchandise may be fulfilled separately.

Any specific cancellation rules applicable to preorder merchandise should be displayed on the applicable product page or communicated before purchase.

SECTION 6 SHIPPING & DELIVERY

Shipping terms, available destinations, free-shipping promotions, processing estimates, international shipping, duties, and other delivery information are described in our Shipping Policy.

Delivery dates provided by Camellia Clothing or a carrier are estimates unless expressly guaranteed in writing.

Camellia Clothing is not responsible for delays caused by carriers, weather, customs authorities, incorrect delivery information supplied by the customer, or other circumstances outside our reasonable control.

Please inspect delivered shipments promptly and report missing, damaged, defective, or incorrectly shipped merchandise according to our Returns & Exchanges Policy.

SECTION 7 PRODUCT PHOTOGRAPHY & INTELLECTUAL PROPERTY

The Camellia Clothing name, logo, website, product designs, photography, text, graphics, videos, and other content are owned by or licensed to Camellia Clothing and are protected by applicable intellectual-property laws.

Purchasing Camellia Clothing merchandise for resale does not automatically transfer ownership of Camellia Clothing's trademarks, copyrighted materials, or other intellectual property.

Retailers may describe and advertise authentic Camellia Clothing merchandise that they have lawfully purchased for resale.

Use of Camellia Clothing's professional product photography, logos, marketing assets, or other copyrighted materials is permitted only where Camellia Clothing has expressly provided or authorized those materials for retailer marketing use or has otherwise given permission.

Camellia Clothing may revoke permission to use its marketing assets where those assets are used in a misleading, unlawful, or unauthorized manner.

SHOPIFY RELATIONSHIP SECTION

Keep Shopify's substantive relationship language, but DELETE the visible merchant instruction:

"[NOTE TO MERCHANT: This section accurately characterizes Shopify's relationship with your store and should not be removed or modified.]"

That instruction should never appear to customers.

PRIVACY POLICY

Privacy Policy

The final language should read substantially as follows:

"All personal information we collect through the Services is subject to our Privacy Policy. Please review our Privacy Policy for information regarding how Camellia Clothing, Shopify, and applicable service providers collect, use, disclose, and otherwise process personal information."

GOVERNING LAW

Have legal counsel specifically review your existing Governing Law and dispute-resolution language and confirm whether it should expressly state California law and Los Angeles County rather than the current more general wording.
